TERMS AND CONDITIONS

These conditions apply to all sales or services performed for the customer and are subject to English Law. Any variations to the standard sale/service conditions, may only be agreed in writing.

Geo Survey Instrument Ltd (GSI) will try to ensure that all information on this site is accurate. All specifications, descriptions of equipment are approximate only being intended to serve as a guide; accordingly GSI shall not be liable for their accuracy. However, if an error should occur in the price or description of a product which the Buyer has ordered, GSI will notify the customer and ask whether the order is to continue at the corrected price / description.

GSI reserves the right to revise prices prior to dispatch of Goods to reflect any direct or indirect increase in costs to the company. If the price has been paid in full prior to dispatch GSI will notify the customer of any price revision which may be incurred. All prices are exclusive of VAT, which shall be paid in addition if applicable according to legal requirements. Payment must be made in full before the delivery of any Goods except where the customer has an agreed credit account. If any act or proceedings are commenced in which the customers solvency is concerned, all monies under any transaction covered by these Conditions shall become immediately due and payable.

Delivery

Unless otherwise stated, the price excludes cost of delivery to the address agreed between GSI and the customer and insurance in transit. Acceptance of delivery of Goods shall be deemed conclusive evidence of the Customers acceptance of these Conditions. Delivery prices are as stated on the web site or as arranged with the customer in writing. Any times quoted for deliveries are estimates only and GSI shall not be liable for failure to deliver within the time quoted. If the goods are not received by the Buyer within six days from the date of the relevant invoice, GSI must be informed.

Cancellations

Cancellations must be given in writing within 24 hours of receipt of goods. Goods must be returned at the customer’s expense within 7 working days and must not have been used or installed, in original packaging and in a resalable condition. The customer will be liable for the cost of remedying any damage to the goods returned where such damage has, in the opinion of GSI, been caused by the goods being inadequately packaged by the customer or through the customers fault.

Warranty

GSI warrants that equipment supplied are free from substantial defects in materials and workmanship and are in working order. The Customer must notify GSI in writing of any alleged defects as soon as it becomes aware of them and in any event within two weeks from the date of delivery. The Customer must return the allegedly defective equipment to GSI carriage paid. GSI’s liability under this warranty is limited to the repair of the defect or, at the discretion of GSI, the provision of replacement equipment or refund of the price paid for the defective equipment

Acceptance

The Customer must satisfy themselves as to the suitability of the Products for their intended use. The risk in the Goods shall pass completely to the Customer at the point of delivery, the customer must inspect the Goods immediately on arrival at the premises. It is also the customer’s responsibility to inspect the Goods before any use is made of them. The Customer shall be solely responsible for and shall keep GSI indemnified against any loss, liability or expense arising directly or indirectly from the use or re-sale of the equipment. GSI will accept no liability for any loss or damage however caused, resulting from the use of the products, whether for injury, profit or data loss.

Force Majeure

GSI shall not be under any liability of whatever kind for non-performance in whole or part of its obligations under the contract due to causes beyond it’s control or beyond the control of GSI suppliers including, war, sabotage, insurrection, riot or other act of civil disobedience, acts of the customer or a third party, failure or delay in transportation, acts of any Government or any agency or sub-division thereof, Government regulations, judicial actions, labour disputes, strikes, embargoes, illness, accident, fire, explosion, flood, tempest or other acts of God, delay in delivery to the customer or the customer’s suppliers or shortage of labour, fuel, raw materials or machinery or technical failure. In any such event GSI may without liability, cancel or vary the terms of contract including, but not limited to, extending the time of performing the contract for a period at least equal to the time lost by reason of such clauses.

 

Standard Conditions Of Hire

 

These conditions apply to all contracts for the hire of equipment owned by GSI to any company, firm or individual (“the Hirer”) these conditions are subject to English Law and any variations to the standard hire agreement may only be agreed in writing.

1.The Hirer shall pay GSI during the course of the hire term rental at the rate set out overleaf. Rental is payable for the whole of the term, even though the equipment may be returned before the term has expired.

2.Punctual payment shall be a condition of hiring. If at any time the Hirer is 14 days or more in arrears; GSI is at liberty to terminate and recover possession of the equipment without delay.

3.In accepting delivery of the equipment the Hirer agrees that the equipment has been inspected, that it is of satisfactory quality, free from defect and is suitable for the purposes of the Hirer.

4.GSI make no representation that the equipment is appropriate for the Hirer’s purposes.

5.Any literature provided to the Hirer shall not constitute a representation to the Hirer and is explicitly excluded from these standard conditions of hire.

6.It is the Hirer’s responsibility to insure the equipment against loss or damage to the full replacement value thereof whilst in the Hirer’s possession or control.

7.The Hirer shall keep the equipment in good and serviceable condition. Any damage caused to the equipment whilst in the Hirer’s possession or control shall be deemed the responsibility of the Hirer.

8.If equipment is not returned within 7 working days of the completion of the hire term GSI shall be entitled to deem the equipment lost and to purchase a replacement and the cost be charged to the Hirer. If the equipment is returned in a condition, which in the opinion of GSI is not good or serviceable; GSI may at its sole discretion repair, or replace the equipment and the cost be charged to the Hirer at the full list price.

9.The hire term shall not be completed until the Hirer returns the equipment to GSI in good and serviceable repair and condition. Hire charges will continue to accrue until in accordance with clause 8, GSI has purchased a replacement or completed repair of the equipment, as the case may be.

10.The equipment shall remain the property and continue in the ownership of GSI, even though it may have been affixed to any land or property. If it is so affixed GSI shall be entitled to enter on the property on which the equipment is located and without leave sever the equipment there from and remove it. The Hirer shall be responsible for any damage or inconvenience thereby caused.
